Proposed CCLA By-Law Amendments

The CCLA Board of Trustees has approved a new set of By-Laws
that it wishes to put before the membership for approval at the Annual General
Meeting on Tuesday March 4, 2014.
As some of you will know, Ontario has introduced new legislation to govern the
affairs of non-profit corporations (which includes the CCLA). Even though the
new legislation is not yet in effect, and amendments have been introduced to
that legislation, the Board wished to be proactive, and has therefore worked
diligently to create a new by-law, both to bring the CCLA into compliance with
the new legislation, as well as to ‘clean up’ numerous provisions which were
either outdated or did not reflect current practices. A copy of the new by-law

The Board will introduce the following motions at the AGM to repeal the
existing by-law and replace it with the by-law which we have posted above;
WHEREAS:
The Corporation is preparing for the coming into force of the new Ontario
Not-For-Profit Corporations Act, which shall replace the Corporations Act
(Ontario) as the governing legislation of the Corporation. Whereas the
Corporation wishes to amend its bylaws to reflect current Corporation
practices, as well as bring it into compliance with the Ontario Not-For-Profit
Act, as it is currently drafted.
BE IT RESOLVED THAT:
The general operating by-law No. 1 of the Corporation (as amended) is repealed
effective today, March 4th, 2014, and the new general operating by-law No. 2
which is annexed hereto as Schedule "B” hereto, is approved and is effective on
the same date.
